Services + Scope
Sawtooth Post LLC ("Sawtooth") provides a comprehensive suite of post-production services tailored to meet rigorous standards of creativity and TPN-aligned security protocols.
- Creative Services: We specialize in precision storytelling and finishing. Our collaborative process may involve multiple rounds of edits to achieve your creative goals. Proposals include fees for reasonable revisions; overages for excessive revisions or work outside the project's original scope may be assessed at our discretion.
- Facility + Workstation Rentals: Rental periods grant access to specific hardware and physical spaces only. Unless explicitly contracted, rentals do not include access to Sawtooth's secure shared storage environment or engineering support beyond basic connectivity.
- Secure Media Management: We provide enterprise-grade data handling, including secure ingest, TPN+ compliant storage, and physical asset tracking. This includes the management of physical drives, LTO tape assets, and secure file transfer workflows.
Rates + Billing
We aim to build a profitable, sustainable partnership that allows both your company and ours to thrive. We charge for our expertise, technical precision, facility resources, and the value we create in delivering polished content.
- Payment Terms: Our standard payment terms are 50% of the total project/rental fee due at commencement/booking, with the remaining 50% due within 30 days of project completion or the end of the rental period.
- Late Fees: At our discretion, invoices not paid within 30 days of their due date (NET30) are considered past due and may accrue additional late fees of 1.5% per month, along with a minimum administrative late fee of $75.
- Expenses: Clients are responsible for reimbursing Sawtooth for direct, out-of-pocket expenses incurred during the project (e.g., hard drives, shipping, courier services). Expenses exceeding $100 require prior Client approval.
After establishing a strong working relationship, we are happy to consider alternative terms. For delays or postponements caused by the client, final balances may be invoiced based on the agreed original project deadline, regardless of external factors.
Cancellation + Kill Fees
In the event of a cancellation, fees may be applied as follows:
- Creative Projects: Any deposit paid is non-refundable. If a project is canceled after work has begun, Sawtooth will calculate the value of all work completed and expenses incurred through the cancellation date. If this amount exceeds the deposit, the Client is responsible for the balance. For delays or postponements caused by the Client, final balances may be invoiced based on the agreed original project deadline, regardless of external factors.
- Facility Rentals: Rental cancellations made less than 48 hours before the booking start time are subject to a cancellation fee up to 50% of the scheduled rental duration at Sawtooth’s discretion.
Media Security + Network Integrity
To maintain TPN-alignment and facility security, strict controls apply to all digital media entering the facility.
- Pre-Use Screening: All client-provided digital storage media must be submitted to Sawtooth personnel for malware/virus screening before being connected to any Sawtooth workstation or network.
- Liability for Compromised Media: By providing physical media, you warrant that it is free of malware and viruses. In the event that client-provided storage introduces malware that compromises Sawtooth systems, you agree to be responsible for all remediation costs, including labor, third-party IT services, and compensation for facility downtime.
- USB + Port Control: To prevent unauthorized data exfiltration, workstation USB ports are disabled by default on secure workstations. Clients and renters may not attempt to bypass these controls.
- Remote Access Security: Access to remote infrastructure is granted to authorized users only via Multi-Factor Authentication (MFA). Sharing login credentials or secure links is strictly prohibited.
Media Storage + Archiving
- Active Project Stewardship: Sawtooth hosts active creative projects on secure, redundant storage environments designed to mitigate the risk of data loss. We utilize enterprise-grade infrastructure and physical security to protect your assets while they are in our care.
- Data Integrity & Stewardship: Sawtooth is dedicated to the protection of your digital assets through robust archiving protocols and secure storage environments. We exercise the highest degree of care in safeguarding your media against loss or corruption. Please refer to the Master Services Agreement for specific details regarding liability and coverage limits.
- Storage & Deliverables Active Storage is provided during the production term. Post-delivery, Sawtooth retains Final Masters and project files per internal schedules; however, Source Media is not retained indefinitely without the purchase of a dedicated "Archiving Service." (e.g LTO). Working project files and workflows represent proprietary methodologies and are not included as deliverables unless specifically purchased.
Intellectual Property & Ownership
- Deliverables (Work Made for Hire): Finalized edits, graphics, and other assets are considered "work for hire" under the Copyright Act of 1976. Ownership transfers to your company upon final payment of all agreed fees.
- Proprietary Tools (Source Files): Working project files and custom workflows reflect Sawtooth's proprietary processes and remain Sawtooth's intellectual property. These are not included with deliverables unless explicitly negotiated and paid for separately.
- AI & Data Privacy Sawtooth warrants that your media assets will not be used to train or fine-tune Artificial Intelligence (AI) or Machine Learning (ML) models. We utilize TPN-compliant AI tools solely within a secure, closed-loop workflow, ensuring your data remains isolated, is never retained by tool providers, and is never contributed to public datasets.
Warranties + Indemnification
- Client Warranties: In providing materials to the Company for creative projects, you warrant that you have full rights and clearances to use the materials for all purposes related to the project as agreed upon in the MSA and SOW.
- Indemnification: You agree to indemnify Sawtooth against any claims arising from the content of the materials you provide, or from technical damage caused by the physical media provided.
- Limitation of Liability: In no event shall Sawtooth be liable for any lost profits, incidental, or consequential damages. Sawtooth's total liability shall not exceed the total fees paid by the Client for the specific project giving rise to the claim.
- Insurance: We do not carry Errors + Omissions (E+O) insurance unless otherwise agreed upon in writing.
General Provisions
- Marketing Rights: Unless a strict NDA is signed prohibiting such use, Sawtooth reserves the right to use the final work for self-promotion in portfolios and social media after the project has been commercially released.
- Force Majeure: Sawtooth shall not be liable for delays caused by events beyond reasonable control, including natural disasters, pandemics, or power outages.
- Governing Law: These Terms & Conditions shall be governed by the laws of the State of Texas.
